The Deal Room: An Insider’s Guide to Investment Banking in India

Abhishek Gupta introduces an India-focused perspective on investment banking in The Deal Room: An Insider’s Guide to Investment Banking in India. Written for students and investment banking aspirants, the book centres on the Indian mid-market, where promoter-led and family-owned businesses seek institutional capital and boutique advisory firms help shape and execute transactions. Its stated purpose is to connect technical preparation with the judgement, temperament and relationships involved in professional advisory work.

The book draws on Gupta’s experience of more than two decades across ICICI, EY, Veda Corporate Advisors, Equirus Capital and his own firm, Bluford Capital. Rather than adopting the global trading floor as its principal setting, it focuses on the practical demands of advising businesses through fundraising and other consequential financial decisions. The description presents an account of the profession from the perspective of someone who has worked with promoters, family-owned enterprises and growth companies.

The Deal Room is organised into five parts. The first, The Landscape, maps the Indian market and explains the economics of an advisory firm. It establishes the professional and commercial context before the reader moves into individual services and transactions. The second part, The Products, covers structured debt, private equity and venture capital, mergers and acquisitions, valuation advisory and working capital. Indian regulatory references named in the book’s description include Rule 11UA, FEMA, TReDS and the SEBI takeover code.

The third part, The Lifecycle of a Mandate, follows a transaction process from origination and the pitch through the engagement letter, diligence, the information memorandum, outreach, term sheets, definitive documents and closing. The outline also includes the anatomy of a deal that dies, making unsuccessful processes part of the proposed learning experience. This section gives readers a sequence through which to understand the documents, conversations and decisions associated with a mandate.

In The Craft, the book turns to financial modelling, valuation, information memorandum writing, data-room management and cap-table mathematics, using worked examples. The fifth part, The Career, addresses entering the profession, navigating the first year, choosing between a boutique and a large firm, and developing a long-term career. Together, these sections place technical skills alongside the practical questions faced by readers preparing for their first roles.

The appendices are described as including a glossary, a sample engagement letter, equity and debt term sheets, a teaser and information memorandum template, and a model skeleton. These materials extend the book’s educational focus by introducing readers to forms and tools associated with advisory work. They are presented as learning resources within a broader professional guide.

Gupta is the Founding Partner of Bluford Capital, a Hyderabad-based investment banking and transaction advisory firm whose practices span structured debt, private equity and venture capital, M&A and valuation advisory. His biography describes an unconventional professional progression: he began with origination, earning client trust and winning mandates, before developing his execution expertise. That experience informs his emphasis on understanding a client as well as mastering the technical requirements of a transaction.

An engineer by training, Gupta holds a B.Tech from IIT Roorkee and an MBA from IIT Kharagpur. His stated motivation for writing The Deal Room was to offer the next generation of bankers the practical guidance he wished had been available at the start of his own career. The book brings that intention into a structured introduction to India’s advisory environment, moving from the market and its products to the working process, professional skills and career choices that shape a banker’s development.
